IP Ownership: All Intellectual Property created by the Service Provider during the course of this engagement shall be the sole and exclusive property of the Client. The Service Provider hereby assigns to the Client all rights, title, and interest in and to such Intellectual Property. Under Section 17 of the Copyright Act, 1957, independent contractors retain IP rights unless a written contract expressly states otherwise [citation:11].
License to Customer Data: Customer grants a royalty-free, non-exclusive license to the Service Provider to use Customer Data as necessary to perform its obligations under this Agreement and, in an anonymized form, for the purpose of improving the Services [citation:1].
Liability Cap: The Service Provider's total liability under this Agreement shall not exceed the total fees paid by the Client during the 12 months preceding the claim [citation:4][citation:7].
