- Cross-border data flows are restricted — the DPDP Act permits transfer to countries notified by the Indian government, requiring explicit data transfer agreements
- Intellectual Property ownership must be explicit — under Section 17 of the Copyright Act, 1957, independent contractors own the work they create unless a written contract states otherwise
- FEMA compliance for foreign vendors — if the Licensor is a foreign entity, payments must comply with FEMA regulations

DPDP Act Compliance: The Service Provider shall be a Data Processor and the Customer shall be the Data Fiduciary under the DPDP Act, 2023. The Service Provider shall act only on the Customer's instructions and shall notify the Customer of any personal data breach within 72 hours .
IP Ownership: All Intellectual Property created by the Service Provider during the course of this engagement shall be the sole and exclusive property of the Customer. Under Section 17 of the Copyright Act, 1957, independent contractors retain IP rights unless a written contract expressly states otherwise .
FEMA Compliance: Payments to the foreign Licensor shall be made in accordance with FEMA regulations and shall be reported to the RBI within the prescribed timelines .
