MAJOR ACTIVITIES PERTAINING TO WB & FM

To provide solutions to legal issues arising out of business activities of Wholesale Bank and Financial markets within the legal framework.

Understand the issue from banking practice- examine the issue from the perspective of the relevant Act and court judgments, and then provide solution, compatible to both business and legal requirements. Understand the transaction, examine the loan documents from the transaction angle and draft /modify/vet the documents.

Negotiate and finalise ISDA and CSA transaction and advising on disputes with clients on existing transactions. Coordinating with external counsels to meet internal legal requirement on a need basis.

Standardise legal documents to make it user friendly.

Facilitate Business and meet business requirement while ensuring compliance to legal requirements

Co-ordinate with various business units/ functions on special assignments requiring their inputs and co- operation.

Establish internal customer friendly rapport with the business and be accessible.

Balance the business interests and legal risks in the process of interpretation of regulatory/ statutory guidelines

Adhere to strict timelines, keeping in view the business exigencies and requirements.

Reduction of cost on legal expenses

§  Minimising dependency on external legal counsel for legal opinions, drafting and vetting of loan documents.

§  Monitor the expenses of the department and ensure it is within the allotted budget.

Provide internally

§  Necessary legal guidelines/ clarifications and legal support as when required by the branches/offices.

§  Responses to the queries raised by business

§  Suitable guidelines on Documentation and related issues to Branches/offices

Loan documents for various asset products are in place

  • Review of existing loan documents

§  Drafting and vetting Transaction specific documents (other than standard loan documents).

Issue of Circular on

§  Legal amendments or Acts.

§  Documentation issues.
